Nicholas’s areas of practice focus on corporate and commercial law. He advises on corporate transactions, mergers and acquisitions, insurance matters, FSC licence applications, business structuring and restructuring. Having previously worked in France, he draws on his experience as a civilist lawyer to bring particular value to contractual and real estate matters. Before joining 5 Fifteen Barristers, Nicholas worked for an international law firm in Mauritius.

Nicholas regularly advises on the legal structure, investment mechanism and project development of various types of organisations in Mauritius. He is involved in the negotiations and drafting of constitutions, shareholders’ agreements, property development agreements, property management agreements, investment agreements, introducer agreements, house rules, service agreements, etc.
2020-present: Advising on the legal feasibility, tax consequences and regulatory requirements of 2 possible investment options in respect of a real estate project worth approximately MUR 950 million. The assignment also involved investment planning targeted at non-citizens.
2020-present: Advising on the legal structure and financing mechanism of a project combining both residential and commercial development and representing an investment value of approximately MUR 650 million.
2020: Advised the shareholder of a real estate investment company on a proposed excision of a portion of land owned by the company and the buy back of the shares issued to the shareholder in consideration of the transfer of the excised portion of land.
2020: Advised a real estate promoter on the structuring of a PDS transaction involving a joint venture between the land owner, the promoter and an investor.
2020-present: Advising on the legal restructuring and succession planning of a joint venture between 2 major family offices involved in the business of wholesale and centralised procurement in Mauritius.
2020-present: Advising a private equity investment vehicle in a dispute relating to an outstanding loan in the amount of USD 6.7 million given to a deceased shareholder and the company's refusal to register the purported transfer of shares to the estate of that shareholder.
2018: Advised on the assignment of agreements, payment mechanism and management contract in respect of the acquisition of a Mourouk Ebony Hotel by Lavastone Ltd (a listed company in Mauritius).
2017: Acquisition of CIM Global Business by SGG Group (now IQEQ) - reviewed corporate and commercial agreements and prepared legal reports as part of the legal due diligence for the acquisition of one of the leading providers of corporate, trust and fund administration services in Mauritius.
2016: Advised on the tax structuring, estate planning and transfer of employees in respect of the acquisition of a Château de vin in the region of Bordeaux.
Nicholas is regularly instructed to advise on the licensing of global businesses and other financial services providers in Mauritius, as well as legal compliance, internal procedure manuals, data protection policies, etc. He has also been requested to provide compliance training to management companies.
